Welcome to ABN Consultants. These Terms and Conditions govern your access to and use of our mobile applications, services, and the website located at https://abnconsultants.in. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, accessing, or using any application developed by ABN Consultants, you enter into a legally binding agreement with us. If you do not agree with any part of these Terms, you must immediately discontinue use of our services.

2. Service Description

ABN Consultants develops, publishes, and maintains mobile applications across various categories including but not limited to:

• Utility applications for general audiences
• Productivity and lifestyle applications
• Entertainment and media applications
• Clone-style applications inspired by existing popular applications
• Applications with age-restricted content (18+ only)

3. Age Restrictions and Eligibility

3.1 General Audience Apps (4+)

Applications rated for ages 4 and above may be used by children under the age of 18 with appropriate parental supervision. Parents and legal guardians are solely responsible for monitoring and controlling their children's use of these applications.

3.2 Adult Content Apps (18+)

Certain applications developed by ABN Consultants contain mature content and are strictly restricted to users aged 18 years and above. By accessing these applications, you confirm that:

• You are at least 18 years of age
• You are legally permitted to access adult content in your jurisdiction
• You will not permit minors to access or use these applications

3.3 Indian Residency

Our services are primarily intended for users residing in India. By using our services, you confirm that you are accessing them from within the territory of India or have the legal right to use Indian payment services.

4. User Accounts and Registration

Certain features of our applications may require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities conducted through your account
• Not share your account with any third party

5. Payment Terms and UPI Autopay Subscriptions

5.1 Pricing and Payment Methods

ABN Consultants offers both free and paid services. Paid services may be offered as:

• One-time purchases
• Recurring subscriptions via UPI Autopay
• In-app purchases for additional features or content

All prices are displayed in Indian Rupees (INR) and are inclusive of applicable taxes. Payment is processed through UPI (Unified Payments Interface) and other authorized payment gateways.

5.2 UPI Autopay Subscriptions

When you subscribe to a paid plan using UPI Autopay, you authorize ABN Consultants to automatically debit the subscription fee from your linked bank account or UPI ID on a recurring basis as per your selected subscription frequency (weekly, monthly, quarterly, or annually).

5.3 Subscription Renewal and Cancellation

Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. To cancel your subscription:

• Disable the UPI Autopay mandate through your banking or UPI application
• Contact our support team at admin@abnconsultants.in
• Use the cancellation option within the application settings (if available)

Cancellation will take effect at the end of the current billing period.

5.4 Price Changes

ABN Consultants reserves the right to modify subscription prices with at least 30 days' notice. Existing subscribers will be notified of price changes via email or in-app notification. Continued use of the service after the price change constitutes acceptance of the new pricing.

6. User Conduct and Prohibited Activities

You agree to use our applications and services in a lawful and respectful manner. The following activities are strictly prohibited:

• Violating any applicable local, state, national, or international law or regulation
• Reverse engineering, decompiling, or disassembling our applications
• Attempting to gain unauthorized access to our systems, servers, or databases
• Distributing malware, viruses, or any harmful code through our services
• Harassing, threatening, or abusing other users
• Impersonating any person or entity or misrepresenting your affiliation
• Scraping, data mining, or extracting data from our applications using automated tools
• Removing, altering, or obscuring any copyright, trademark, or proprietary rights notices
• Using our services for any commercial purpose without our express written permission
• Sharing adult content from 18+ apps with minors
• Creating multiple accounts to abuse free trials or promotional offers

7. Intellectual Property Rights

7.1 Our Intellectual Property

All content, features, functionality, source code, designs, graphics, logos, and trademarks associated with ABN Consultants and our applications are the exclusive property of ABN Consultants or our licensors. These are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Third-Party Intellectual Property

Our clone-style applications may be inspired by existing applications but are developed using original code and design. We respect the intellectual property rights of others and do not claim ownership of any third-party trademarks, copyrights, or patents. If you believe any of our applications infringe upon your intellectual property rights, please contact us immediately at admin@abnconsultants.in.

7.3 User-Generated Content

If you submit, upload, or post any content through our applications, you grant ABN Consultants a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content solely for the purpose of providing and improving our services.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the practices described in the Privacy Policy and acknowledge our compliance with the Digital Personal Data Protection Act, 2023.

9. Service Availability and Modifications

ABN Consultants strives to provide uninterrupted access to our applications and services. However, we do not guarantee that:

• Our services will be available at all times without interruption
• Our applications will be error-free or free from bugs
• Any defects or errors will be corrected promptly
• Our servers will be free from viruses or other harmful components

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We may also impose limits on certain features or restrict access to parts or all of our services without liability.

10. Termination

10.1 Termination by You

You may terminate your account and discontinue use of our services at any time by:

• Uninstalling our applications from your devices
• Canceling your subscription (if applicable)
• Requesting account deletion via email to admin@abnconsultants.in

10.2 Termination by ABN Consultants

We reserve the right to suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms and Conditions
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• At our sole discretion without assigning any reason

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimers and Warranties

We do not warrant that:

• Our applications will be compatible with all devices or operating systems
• Any information or content provided through our apps is accurate or reliable
• Defects will be corrected or that our services are free from viruses or harmful components
• Results obtained from using our services will be accurate or reliable

12. Limitation of Liability

To the maximum extent permitted by Indian law, ABN Consultants, its directors, employees, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or use
• Loss of business opportunity
• Personal injury or property damage
• Business interruption
• Loss of goodwill or reputation

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if ABN Consultants has been advised of the possibility of such damage.

Maximum Liability: In no event shall the total aggregate liability of ABN Consultants for all claims arising from or related to these Terms or the use of our services exceed the amount you paid to ABN Consultants in the 12 months preceding the claim, or INR 5,000 (Five Thousand Indian Rupees), whichever is lower.

13. Indemnification

You agree to defend, indemnify, and hold harmless ABN Consultants, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms and Conditions
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit, post, or transmit through our services
• Your violation of any applicable laws or regulations

14. Third-Party Links and Services

Our applications may contain links to third-party websites, applications, or services that are not owned or controlled by ABN Consultants. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that ABN Consultants shall not be liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available through third-party platforms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The relationship between you and ABN Consultants shall be governed by the substantive laws of India.

15.2 Jurisdiction

Any legal action, suit, or proceeding arising out of or related to these Terms or our services shall be instituted exclusively in the courts of New Delhi, India. You consent to the exclusive jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

15.3 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it may be submitted to mediation or arbitration as mutually agreed, or pursued through the courts of New Delhi, India.

16. Consumer Protection

Nothing in these Terms shall affect your statutory rights as a consumer under the Consumer Protection Act, 2019, or any other applicable consumer protection legislation in India. Where these Terms conflict with your statutory rights, your statutory rights shall prevail.

17. Grievance Redressal

In compliance with the Information Technology Act, 2000, and rules made thereunder, ABN Consultants has appointed a Grievance Officer to address user complaints and concerns.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

19. Waiver

No waiver by ABN Consultants of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by ABN Consultants to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ABN Consultants regarding the use of our services and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

21. Updates to Terms

ABN Consultants reserves the right to modify or update these Terms at any time at our sole discretion. We will notify you of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email notification to registered users
• Displaying an in-app notification upon next login

Your continued use of our services after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
